1. Acceptance of Terms

You agree to be bound by these terms and conditions by using our services, which you have read and understood. Please do not use our services if you disagree with these terms. You may print, download, and distribute content from this website for personal use as long as you don't alter any of it without our express permission. No part of this website may be reproduced online or offline without our consent.

2. Services

Zilicon Network Solutions Pvt. Ltd. offers digital marketing services, including but not limited to search engine optimization (SEO), social media marketing, content creation, email marketing, and online advertising. The agreement between Zilicon Network Solutions Pvt. Ltd. and the client will contain specifics about the services to be rendered.

3. Fees and Charges

The "Project Proposals Payment Schedule" concludes with project fees. Consequently, the client should therefore make the payment despite any deadlines. 

3.1 There is a mention of the fees associated with the services you use. To get things going, a 50% down payment of the project quote is needed. Initially, materials are released or the work is uploaded to the server, and the remaining fifty (50%) percent of the project quotation total is due. 

3.2 It is necessary to settle any outstanding development fees within 10 days following the conclusion of the acceptance test period.

3.3 Payment for any required services should be done to Zilicon Network Solutions Pvt. Ltd. only. Banking details about the same will be made available on invoices. 

4. Client Obligations

Clients are required by law to provide accurate and comprehensive information. If you don't, your service might be incomplete or delayed. For the duration of any future proceedings, Zilicon Network Solutions Pvt. Ltd. will not be involved in any such case. The client should to be responsible for the expenses incurred as a result of providing inadequate information. 

5. Payment

The fees specified in the service agreement shall be paid by the clients. Services may be suspended or terminated as a result of late payments.

5.1 Zilicon Network Solutions Pvt. Ltd. shall not be held responsible for any payment failure if payment is made after the due date.

5.2 Failing to pay the full 50% due after services are completed may result in suspension or termination of services. A client may have to face any of these repercussions; 

a-  Put the project on hold until all the payments have been received; or, 

b- Disable the Website in whole or in part until payment has been made in full; or

c- This Agreement may be terminated with immediate notice. We will not be conducting business with you going forward due to this incident.                    

6. Intellectual Property

By formal agreement, Zilicon Network Solutions Pvt. Ltd. maintains exclusive ownership of all intellectual property created or used in the provision of services. This guiding concept declares that Zilicon Network Solutions Pvt. Ltd. is the legitimate owner of all intellectual property related to its service offerings, highlighting the significance of formal agreements to change this default ownership. 

7. Confidentiality

Both parties agree to keep confidential. Any confidential information disclosed during the engagement, such as business strategies, client lists, or financial information, may result in a breach of the agreement.

The agreement states that the Receiving Party has to make an effort to keep all the information shared by the Disclosing Party a secret. This includes any details about software, how things are done, products, processes, business operations, and even confidential business strategies or secrets. It also covers related things like software details, designs, and graphics.

The Receiving Party can only use this confidential information to do what they've promised to do in their agreement. They can't use this information for anything else.

Importantly, the Receiving Party cannot tell this confidential information to anyone else without getting permission in writing from the Disclosing Party. And this promise to keep things secret stays in place even if the agreement ends for any reason.

The Receiving Party can share confidential information with its team, but they have to be careful. There are specific situations where they may need to disclose the information even if it's supposed to be kept confidential. Therefore, information is not considered confidential in these cases:

• If the information is already known to the public or becomes public without the Receiving Party doing anything wrong; or

• If someone else has the authority to do so and freely gives the information to the Receiving Party; or

• If the law or regulations require the Receiving Party to share the information, but in this case, they must tell the other “Disclosing Party” as soon as possible;

8. Termination

Either party may terminate the service agreement with written notice if the other party breaches any material term of the agreement. Upon termination, all outstanding fees become immediately due.

9. Limitation of Liability

Zilicon Network Solutions Pvt. Ltd. will not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use our services. In no event shall our liability exceed the total fees paid by the client.

10. Indemnification

Clients agree to indemnify and hold Zilicon Network Solutions Pvt. Ltd. harmless from any claims, damages, or losses arising from the client's use of our services or any breach of these terms.

11. Modification of Terms

The only authority to change these terms and conditions belongs to Zilicon Network Solutions Pvt. Ltd.. Any updates will be communicated to clients, and their continued use of our services following such changes is considered their agreement to the updated terms. After accepting the revised terms and conditions here, the client shall be responsible for using the services. If you don't, your access to certain services may be temporarily restricted until the acceptance is received. 

12. Governing Law

These terms and conditions are governed by and construed following the laws. The courts shall have exclusive jurisdiction over any disputes arising under or about these terms.
